Marcella is a legal advisor specialized in intellectual property matters for the Technology Transfer at Istituto Italiano di Tecnologia since 2012. In this role, she assists IIT in its collaborative research programs with industries and research organizations at the national and international level, with particular reference to defining strategies and initiatives for the exploitation of IIT’s intellectual property. 

Marcella has experience negotiating a wide range of technology transfer contracts with companies and investors, as well as sponsored research agreements, license agreements, option agreements, material transfer agreements, and non-disclosure agreements. She is responsible for providing legal advice on collaborative research agreements and consortium agreements regulating intellectual property between research organizations and industry in large research projects, and for negotiating inter-institutional agreements for the management of IIT patents that are co-owned with other institutions. She also provide legal support for the creation of spin-off companies by assisting to draft related contractual documents and appropriate forms, and, lastly, prepare agreements for sharing know how and patents owned by IIT.

Prior to joining IIT, Marcella worked for the Technology Transfer Office at the Italian Institute of Nuclear Physics (INFN) in Frascati, Rome. There she provided specialized legal advice for the negotiation and drafting of inter-institutional agreements, research contracts, collaborative research agreements and license agreements. She also worked to support INFN’s spin-off companies by examining and arranging their bylaws and  other corporate documents, and drafting all of the related contracts.

Marcella earned a Master of Laws in 2008 from the University of Rome “Tor Vergata”, writing her dissertation in civil law on the contract of mandate. She then worked as legal trainee in Rome, where she acquired legal advising skills, especially with regards to litigation matters. During this time she drafted legal documents and opinions, and participated in hearings before the civil, criminal and administrative courts. Following her traineeship, in 2011 she passed the Bar examination for the Rome Court of Appeal.

In 2012, Marcella participated in a Postgraduate Masters program on “Intellectual Property and Technology Transfer” at the University of L’Aquila, Italy, writing a dissertation on a comparative analysis of the most exploited clauses in research contracts.

Moreover, in July 2013 Marcella obtained a Ph.D. in Civil Law specialized in contracts at the University of Rome “Tor Vergata”, Italy. Her research focused on analysing the field of research contracts between public authorities and private companies.

From February 2014 to October 2014, she completed an internship at the law firm Jacobacci & Associati, which allowed her to gain further experience in the procedural and substantive aspects of industrial property law, with particular reference to patents for inventions and utility models, designs and copyright.

Marcella has been a member of the Association “Giovani per la Costituzione” for 10 years, for which she has lectured on Constitutional Law at primary and secondary schools within the project “Citizenship and Constitution”. Until 2011, she was the editor for the Labsus Association – Laboratory for subsidiarity, for which she reviewed several essays and articles linked to the principle of subsidiarity as defined in the Italian Constitution.
